Objective
The objective of this exercise is to draw together the strands of what we have learned about ESG investing and active ownership by drafting a shareholder resolution concerning a particular company on a particular social or environmental issue the company is currently facing.
Deliverable
Final research report of no more than 1700 words excluding footnotes and bibliography, based on a topic.
The report title should state the name of the listed company concerned, and a very short description of the issue being addressed by your resolution eg “Pollution of Lake Erie”.
Instructions
You are taking on the role of a socially responsible investor. You have identified a specific social or environmental risk concerning a specifically listed corporation and you want to engage with the corporation with a view to getting that risk addressed.
You are confident you can bring together the support necessary to get a shareholder resolution on the ballot for the company’s next AGM. Filing a shareholder resolution will get the board’s attention (they have been lackluster in response so far) and bring them to the table for some serious discussions.
At those discussions, you will be able to go through your arguments in more detail. Your task is to draft the shareholder resolution and the supporting statement and additional details i.e. your stakeholder analysis, analysis of applicable norms, and analysis of how competitor companies have handled this issue including the commitments other companies have made.
You will need to undertake extensive research online to complete this assignment. Regard what we have covered in class as a roadmap to the terrain. Now your job is to fill through your own research the detail on that map around your ‘destination’ – a shareholder resolution proposal to a particular company on a particular issue.
